Choosing the Right Business Structure

When starting a business in Taiwan, the primary business structures generally include sole proprietorships and partnerships, as well as various forms of companies, such as limited companies, companies limited by shares, close companies, and limited partnerships.

Sole proprietorships and general partnerships generally involve unlimited liability, which exposes the owners to greater personal financial risk. However, they are relatively simple and cost-effective to establish.

Companies, on the other hand, generally provide limited liability protection, helping business owners better manage their financial exposure. They are typically more suitable for businesses that plan to raise capital, bring in investors, or expand their operations.

A limited company is generally suitable for entrepreneurs and smaller businesses in the early stages of development, while a company limited by shares is often better suited for businesses seeking external investment, capital raising, and future expansion.

When selecting the appropriate business structure, the two most important considerations are the scope of liability and the intended scale and direction of the business.

  • Unlimited Liability:The business owner or partners may be personally liable for the debts and obligations of the business, meaning their personal assets may be exposed to business-related liabilities.
  • Limited Liability:Shareholders are generally liable only up to the amount of their capital contribution or investment. Their personal assets are therefore generally protected from the company’s liabilities. 
  • Small-Scale, Cost-Efficient & Simple Operations : For businesses starting on a smaller scale and seeking lower setup costs and simpler administration, a sole proprietorship or partnership may be an appropriate option. 
  • Fundraising, Expansion & Future Listing : For businesses planning to expand, attract external investors, raise capital, or eventually pursue an IPO, establishing a company is generally more appropriate. A company limited by shares is particularly suitable for businesses with long-term fundraising and expansion plans, while a close company may also be considered where greater flexibility in ownership structure and shareholder arrangements is desired. 
  • Sole Proprietorship : A business owned and operated by a single individual. The owner generally bears unlimited liability for the debts and obligations of the business.
  • General Partnership : A business jointly operated by two or more partners. The partners generally bear unlimited liability for the debts and obligations of the business.
  • Advantages : Relatively simple establishment procedures and lower administrative and operating costs.
  • Disadvantages : Business owners or partners bear unlimited liability. If the business encounters financial difficulties, their personal assets may be exposed to business-related liabilities.
  • Limited Company : Shareholders are generally liable only up to the amount of their capital contributions. This structure is suitable for smaller businesses in their early stages with a relatively limited number of shareholders.
  • Company Limited by Shares : Shareholders are generally liable only up to the amount of the shares they subscribe for. This structure provides greater flexibility for future capital raising and business expansion.
  • Close Company : A special form of company limited by shares under Taiwan’s Company Act. It offers greater flexibility in share ownership and financing arrangements, making it particularly suitable for startups and privately held companies with diverse early-stage fundraising needs. Specific legal requirements and restrictions apply.
  • Limited Partnership : A hybrid business structure consisting of both general partners with unlimited liability and limited partners whose liability is generally limited to their agreed capital contributions. This structure provides greater flexibility in ownership, management, and investment arrangements.
  • Advantages : Company shareholders generally benefit from limited liability, allowing business risks to be better separated from their personal assets.
  • Disadvantages : Compared with sole proprietorships and general partnerships, companies generally involve more complex establishment, compliance, and ongoing administrative requirements, resulting in higher setup and management costs.

    For Taiwan tax purposes, the branch office is generally required to maintain appropriate accounting records, calculate its taxable income, and file corporate income tax returns in Taiwan.
  • Key Features : A representative office is generally limited to non-revenue-generating activities such as liaison, business promotion, market research, and other preparatory activities. It may not directly conduct revenue-generating business activities or issue Uniform Invoices in Taiwan.
  • Suitable For : Foreign companies that wish to conduct preliminary market research, establish local business contacts, or explore business opportunities in Taiwan before commencing actual commercial operations.
  • Key Limitations : A representative office is not permitted to directly conduct business activities that generate operating revenue in Taiwan.

Before starting a business, entrepreneurs should carefully assess the level of business risk involved and consider their long-term development plans in order to select the most appropriate business structure.

If the priority is to get started quickly with lower setup and administrative costs, a sole proprietorship or partnership may be a suitable option. If the goal is to limit personal liability, attract external investors, and prepare for future expansion, establishing a company should generally be considered.

  2. For future fundraising, expansion, or IPO plans
    If the business intends to attract external investors, raise capital, expand its shareholder base, or pursue an IPO in the medium to long term, a Company Limited by Shares is generally more suitable.
  3. For foreign companies exploring the Taiwan market
    Foreign companies seeking to establish an initial presence in Taiwan may consider setting up a Representative Office or Branch Office, depending on their intended activities, before establishing a more permanent corporate structure as their business develops.
